Role Description
This is a full-time on-site role for a Company Secretary. The Company Secretary will be responsible for advising clients on governance matters, regulatory compliance, and corporate secretarial duties. They will review and draft legal documents, and oversee corporate compliance. They will also be responsible for managing client relationships and providing strategic advice on corporate governance issues.
- Timely Scheduling and organization of Board and Board Committee meetings;
- Circulation of minutes of meeting within 48hours of convening meetings.
- Dealing with correspondence, collating information, and writing reports, ensuring decisions made are communicated to the relevant company stakeholders.
- Organize Board trainings and induction for Board members.
- Managing share option schemes, share issues, mergers, and takeovers processes.
- Managing Board Evaluation process for each company assigned to.
- Managing the Company secretarial aspect of transactions which includes but not limited to, rights offers and transfer of shares.
- Incorporation changes at Corporate Affairs Commission [CAC]
- Drafting of Policies, procedures, and rules to ensure international best governance standard for clients.
Qualifications
- Excellent knowledge of corporate and commercial law
- Experience in providing legal advisory and corporate secretarial services
- Experience in managing complex client relationships
- Ability to provide strategic advice on corporate governance issues
- 4-6 years legal experience practice
- 2-4 years experience in capital market transaction
- Excellent analytical and problem-solving skills
- In-depth knowledge of corporate governance frameworks, regulatory compliance requirements, and stock exchange rules for public listed companies
- Excellent written and verbal communication skills
- Bachelor's degree in Law or related field
- Master's degree in Law or related field is a plus
