Job Description/Requirements
Responsibilities:
Secretarial Duties:
- Organize and prepare agendas for board meetings, committee meetings, and annual general meetings (AGMs).
- Record, draft, and circulate accurate minutes of meetings.
- Maintain statutory registers and company records.
- Ensure timely filing of statutory returns and compliance documents with regulatory authorities.
Corporate Governance and Compliance
- Advise the board and senior management on corporate governance practices and regulatory compliance.
- Monitor and ensure adherence to applicable laws, regulations, and internal policies.
- Coordinate with legal teams and external consultants on compliance matters.
- Conduct internal audits to ensure regulatory and ethical compliance.
- Oversee the preparation and filing of annual reports and financial disclosures.
Corporate Services:
- Manage correspondence with shareholders, stakeholders, and regulatory bodies.
- Handle documentation for mergers, acquisitions, and corporate restructuring.
- Support the development of policies, procedures, and processes for organizational efficiency.
- Supervise administrative staff and ensure effective office operations.
- Facilitate training programs for staff on governance and compliance matters.
Risk Management:
- Identify and mitigate compliance and governance risks.
- Develop and implement risk management frameworks and strategies.
Requirements:
- Bachelor’s degree in Business Administration, Law, Corporate Governance, or related fields.
- Chartered Secretary (ICSA) or equivalent governance certifications preferred.
- Prior experience in corporate governance, compliance, or administrative roles is typically required.
