An Oil Field Company is looking to recruit a competent Group Secretary/Corporate Services & Compliance Officer preferably a female lawyer to play a crucial role in ensuring the effective administration and governance of an organization. Their responsibilities span secretarial duties, compliance management, and corporate services.

Job Description/Requirements

Responsibilities:

Secretarial Duties:

  • Organize and prepare agendas for board meetings, committee meetings, and annual general meetings (AGMs).
  • Record, draft, and circulate accurate minutes of meetings.
  • Maintain statutory registers and company records.
  • Ensure timely filing of statutory returns and compliance documents with regulatory authorities.


Corporate Governance and Compliance

  • Advise the board and senior management on corporate governance practices and regulatory compliance.
  • Monitor and ensure adherence to applicable laws, regulations, and internal policies.
  • Coordinate with legal teams and external consultants on compliance matters.
  • Conduct internal audits to ensure regulatory and ethical compliance.
  • Oversee the preparation and filing of annual reports and financial disclosures.


Corporate Services:

  • Manage correspondence with shareholders, stakeholders, and regulatory bodies.
  • Handle documentation for mergers, acquisitions, and corporate restructuring.
  • Support the development of policies, procedures, and processes for organizational efficiency.
  • Supervise administrative staff and ensure effective office operations.
  • Facilitate training programs for staff on governance and compliance matters.


Risk Management:

  • Identify and mitigate compliance and governance risks.
  • Develop and implement risk management frameworks and strategies.


Requirements:

  • Bachelor’s degree in Business Administration, Law, Corporate Governance, or related fields.
  • Chartered Secretary (ICSA) or equivalent governance certifications preferred.
  • Prior experience in corporate governance, compliance, or administrative roles is typically required.

  • Excellent written and verbal communication skills.
  • In-depth understanding of corporate governance and legal frameworks.
  • Attention to detail and analytical thinking.
