Startup & Investment Lawyer

Responsibilities:

Compliance Management:

• Ensure all business units comply with Nigerian corporate law, regulatory requirements, and industry standards (e.g., NDIC, NDPR, SEC, CAC).
• Develop and implement compliance programs, policies, and training for internal teams
• Monitor regulatory changes and update business practices to maintain compliance.

Startup & Investment Legal Advisory:

• Advise on startup formation, equity structuring, fundraising, and venture capital transactions.
• Draft, review, and negotiate investment agreements, shareholder pacts, term sheets, and M&A deals.
• Manage due diligence processes for investments, partnerships, and acquisitions.

Contract Drafting & Review:

• Prepare and vet contracts for vendors, clients, and partners (e.g., SaaS agreements, NDAs, licensing deals).
• Ensure legal accuracy and risk mitigation in all business agreements.

Corporate Governance:

• Oversee corporate filings, registrations, and governance documentation.
• Advise on intellectual property protection, data privacy (NDPR/GDPR), and labor law compliance.

Dispute Resolution & Risk Mitigation:

• Manage legal disputes, liaise with external counsel, and develop strategies to resolve conflicts efficiently.
• Proactively identify legal risks and provide actionable solutions to safeguard the company.

Cross-Department Collaboration:

• Work closely with executives, HR, finance, and operations teams to align legal strategies with business goals
• Provide training to staff on compliance, corporate law, and best practices.

Requirements:

• Minimum of a degree
• Minimum of 2 years experience in a similar role
